Helps Terms of Service

This is a courtesy translation of a document written in Italian. In case of any divergence between the two versions, the Italian text prevails.
1. Who provides the service
Helps is provided by Giuseppe Cristiano Assennato, a natural person, Italian tax code SSNGPP07C20B429T, domiciled at Contrada Canicassè, 93100 Caltanissetta (CL), Italia.

In the rest of this document "we" means the provider named above and "you" means whoever uses Helps.
2. What Helps is
Helps is a desktop application for Windows and macOS that listens to the audio of sales video calls, produces a real-time transcript of them, and shows suggestions on the user's screen about how to answer the customer's objections.
The suggestions are generated automatically from material that you provide: the company context (product, prices, competitors, recurring objections) and the information you add about the individual call.
Helps is not a consultant and does not guarantee results. The suggestions are a support tool: the decision about what to say to the customer remains yours, and you are responsible for what you say.
3. Your obligation towards the other participants in the call
This is the most important point in these terms.
Helps listens to the audio of conversations in which other people take part. You are responsible for informing all participants that you are using a tool that listens to and transcribes the call, and for obtaining their consent where the law requires it.
When you activate the service you are asked to confirm that you have complied with this obligation. That confirmation is a declaration of yours, and by using Helps you repeat it on every call.
The rules on recording and processing conversations vary from country to country and, in some cases, from region to region. It is your responsibility to know them and comply with them in the place where you operate and where the people you talk to are located.
If a third party challenges your use of Helps in a call, the matter is between you and that third party. You undertake to hold us harmless from any claim, penalty or legal cost that may arise for us from a use of Helps in breach of this article.
The undertaking to hold us harmless applies if you use Helps in the exercise of your entrepreneurial, commercial or professional activity. It does not apply to anyone who buys as a consumer: towards them only the consequences that the law already attributes to them apply, and no indemnity is required of them.
To help you, here is a form of words you can say or type in the chat at the start of the call: "Quick heads-up: I'm using an AI assistant that transcribes our conversation live to help me. No audio is recorded."
4. Your account
To use Helps you need an account. You are responsible for safeguarding your credentials and for everything that happens through your account.
You must be at least 18 years old, and by accepting these terms you declare that you are. Helps is a work tool and is not intended for minors: article 3 places on you obligations towards the other participants in the call that presuppose the capacity to assume them.
We do not verify age with identity documents, and we do not consider that proportionate for a professional tool: we rely on your declaration, which we record together with your acceptance of these terms.
If we learn that an account has been opened by a minor, we close it and give back what has been paid for the period not used. In that case we do not retain the proportionate share provided for by article 7.2, which presupposes a valid contract.
An account is personal. You may not share it with other people: if there is more than one of you in the company, each person must have their own.
If you receive an account created by us at your request, we ask you to change the password on first sign-in.
If you discover that someone has accessed your account without authorisation, write to us immediately.
5. The free trial
Every account is entitled to five free suggestions, once only. Laboratory runs are not included.
Once the five suggestions are used up the session stops. To continue you must take out a subscription.
The trial does not renew and is not transferable between accounts.
6. Subscriptions, prices and payments
6.1 The plans
Helps is purchased by subscription. The available plans, their content and their price are shown inside the application, in the "Plan" section, and form part of these terms.
Each plan includes a number of call hours per month and a number of Laboratory runs per week. Unused hours and runs do not accumulate: they reset at the end of the period.
Each subscription is valid for one person. Whoever buys for a team buys a number of seats, and each seat is a complete subscription with its own hours and its own runs.
Seats are assigned by the person who bought them, and can only be assigned to people who are already part of their team. They can also be taken back: unlike cancellation, revoking a seat takes effect immediately and not at the end of the period already paid for. From that moment the person who loses it no longer has the hours and runs of that seat, and the seat can be assigned to someone else. The account and team membership remain.
6.2 The prices
The prices shown are what you pay, and no VAT is applied.
This is because the provider operates as a natural person outside the VAT regime. If this status changes in the future, prices will be shown net of tax and we will tell you with the notice period set out in article 6.4.
6.3 Payment
Payments are handled by Stripe. We never come into possession of your card details.
The subscription renews automatically on expiry, at the same frequency chosen at the time of purchase, until you cancel it.
If a payment fails, Stripe makes further attempts according to its own rules. During that period you continue to have access to the service. If the attempts are exhausted without success, access is suspended.
6.4 Price changes
We may change prices by giving you at least 30 days' notice, sent to the email address associated with your account.
The new price applies from the first renewal after the notice period expires. If you do not accept the new price you may cancel before that renewal, at no cost.
Anyone with an annual subscription in progress keeps the price paid until the end of the annual term.
6.5 Changing plan
You may ask to change plan at any time by writing to supporto@usehelps.com. Today a plan change is not made from the application, and this article describes how it works for as long as that remains the case.
We reply telling you what changes — which plan, from when, with how many hours and how many runs — and what is charged or credited to you. The change takes effect only after you have confirmed it, and before that confirmation no charge is made other than those of the plan you already have.
The renewal date does not change and the period does not restart, unless our reply tells you otherwise and you accept it.
If you buy as a consumer, a plan change that involves a charge is to all intents and purposes a new purchase: the protections of article 7.3 apply, and before proceeding we ask you again for the two consents described there.
On the day a plan change can be made from the application, this article will change, and we will tell you with the notice period provided for by article 12.
7. Cancellation and refunds
7.1 How to cancel
You may cancel at any time from the management portal, reachable from the application.
Cancellation takes effect at the end of the period you have already paid for. Until then you continue to use Helps normally. There are no penalties and no notice is required.
If the subscription includes more than one seat, only the person who bought them can access the portal. Cancellation applies to the whole subscription: at the end of the period already paid for, access closes for all seats, including those assigned to other people.
7.2 Refund within 15 days
You may request a refund within 15 days of the first payment, by writing to privacy@usehelps.com.
The refund is proportionate to what you have consumed: we retain the value of the call hours and Laboratory runs you have used, and give you back the rest.
The calculation: we take the percentage of hours consumed out of the total for the period paid for, do the same with the Laboratory runs, and retain the greater of the two.
Example. You bought the monthly Pro plan (€89, 45 hours, 5 runs per week). In the first 15 days you used 9 hours and no runs. You consumed 20% of the hours, so we give you back €71.20.
This option is available once per account and only within the first 15 days of the first payment. From the second billing period onwards no refunds are provided: you may cancel, and the cancellation will take effect at the end of the period.
The rule also applies to annual subscriptions, on the same proportionate basis.
If you buy as a consumer, article 7.3 applies in addition, and gives you broader rights.
7.3 If you buy as a consumer
If you buy for purposes outside your entrepreneurial, commercial or professional activity, you are a consumer within the meaning of the Italian Consumer Code (Legislative Decree 206/2005) and you have rights that this contract cannot limit.
The right of withdrawal. You have fourteen days from the conclusion of the contract to withdraw without having to give any reason and at no cost.
Immediate activation. Helps is a service that only makes sense if you use it straight away. For this reason, at the time of purchase, we ask you two distinct things:
- your express consent to the service being activated immediately, without waiting for the fourteen days to expire;
- your acknowledgement that, by withdrawing after starting to use Helps, you will have to pay the amount proportionate to the service already provided.
You will receive confirmation of this consent by email, together with the order confirmation.
What happens if you withdraw after starting to use it. We give you back what you have paid, retaining the part proportionate to the service actually enjoyed up to the moment you notify us of the withdrawal. The criterion is the one in article 7.2.
How to exercise it. Write to privacy@usehelps.com, or use the model form annexed to these terms. We refund within fourteen days of receipt, using the same means of payment you used.
If we do not ask you for the consent described above, or if we do not provide you with the confirmation, the right of withdrawal remains full: you can obtain a complete refund within the fourteen days.
8. What you may not do
By using Helps you undertake not to:
- use it in breach of applicable laws, including those on the confidentiality of communications and the protection of personal data;
- use it to record or transcribe conversations without the knowledge of the other participants, where this is not permitted;
- share your account, resell the service or give third parties access to it;
- attempt to circumvent the limits of the plan you have subscribed to, or the technical protections of the service;
- decompile, disassemble or attempt to derive the source code of the application;
- enter into the company context or the notes any unlawful material, or personal data of third parties that you are not authorised to process.
In case of breach we may suspend the account, after warning you where the circumstances allow it.
9. Who owns the content
It stays yours. The company context you write, the transcripts of your calls, the notes on your deals and the answers the Laboratory produces for you are yours.
We process them only in order to provide you with the service, on the terms described in the privacy policy.
You can export your data at any time from the application, in a readable format.
The software, the interface, the texts and the Helps trade mark remain ours. The subscription gives you the right to use the application, not to acquire ownership of it.
When we process third-party data on your behalf. If, by using Helps, you entrust us with personal data of other people — typically the participants in your calls — you are the data controller and we are the processor. That relationship is governed by the Data Processing Agreement, available at usehelps.com/legale/en/dpa, which forms an integral part of these Terms and which you accept together with them.
10. Availability of the service
We do everything we can to keep Helps working, but we do not guarantee that it will always be available or free of defects.
Helps depends on third-party services — transcription, answer generation, infrastructure, internet connection — and an interruption in one of these can make it temporarily unusable.
We may suspend the service for maintenance. Where it can be scheduled, we give advance notice.
Helps today runs on Windows and macOS. There is no version for other systems.
11. Limitation of liability
Helps is a support tool. To the extent permitted by law, we are not liable:
- for the outcome of your commercial negotiations;
- for the content of the automatically generated suggestions, which may be inaccurate or unsuited to the context, and which you are required to assess before using them;
- for errors in the transcription of the audio;
- for the consequences of a use of Helps in breach of article 3.
Towards customers who buy in the exercise of their own professional activity, our overall liability does not exceed what you have paid us in the twelve months preceding the event.
Nothing in this article excludes or limits: liability for wilful misconduct or gross negligence, liability for personal injury, or the rights that the law grants to consumers — towards whom the limitations set out above do not apply.
12. Changes to these terms
We may change these terms where there is a valid reason: a change in the law or in a measure that concerns us; the addition, modification or withdrawal of features of the service; a change in a supplier on which Helps depends; a change in the provider's tax status; the correction of an error or an ambiguity in the text. We do not change these terms for reasons other than these.
We tell you what the reason is together with the change. If the change is substantial, we will tell you with at least 30 days' notice at the email address associated with your account.
If you do not accept the changes you may cancel before they come into force. Continuing to use Helps after that date means accepting them.
13. Governing law and jurisdiction
These terms are governed by Italian law.
If you buy as a consumer, that choice does not deprive you of the protection afforded to you by the mandatory provisions of the law of the country where you habitually reside: those continue to apply, and prevail over Italian law where they are more favourable to you. It is the same rule that the article below recognises for jurisdiction.
If you buy in the exercise of your professional activity, the Court of Caltanissetta has exclusive jurisdiction over any dispute.
If you buy as a consumer, jurisdiction remains with the court of the place where you have your residence or domicile, as provided by article 66-bis of the Italian Consumer Code. That jurisdiction is mandatory and no clause of this contract limits it.
14. Assignment of the contract and change of provider
You may assign this contract to another person or another company only with our written consent.
We may assign it, together with the subscription, to whoever takes over the provision of Helps: typically a company set up by the provider to continue the same activity, or whoever acquires the business. We will tell you with at least 30 days' notice at the email address associated with your account, saying who is taking over.
The takeover does not worsen your conditions: plan, price and duration remain the ones you have. If you do not accept it you may cancel before it takes effect, and we give you back the unused part of the subscription.
Whoever takes over also becomes the controller of your personal data: the notice described above also serves that purpose, and the privacy policy says so in its article 10.
